Compliance Management System (CMS)

Compliance means adhering to laws, regulatory requirements and guidelines; in short, it means following the rules or acting in accordance with them. An integral part of the company’s corporate governance is our CMS, which sets out transparent and legally compliant guidelines for heroal. It includes, amongst other things, our Code of Conduct with the relevant guidelines, our compliance organisation, and our compliance training programme, which is based on our corporate values and standards.


Compliance culture

Our compliance culture is shaped by the core values and conduct of heroal’s management, our senior staff and our employees. It influences our day-to-day actions and aims to ensure a consistent understanding of the rules within our company.

This philosophy is embodied in the heroal Code of Conduct, which forms a central part of the CMS. It sets out binding minimum standards in our dealings with our employees, business partners, society and the environment, in order to ensure responsible and ethical behaviour, integrity, honesty and trust.

Code of Conduct


Compliance organisation

The management team bears overall responsibility and is responsible for the implementation and development of the CMS. The Compliance Committee advises the management team on organisational measures, coordinates internal investigations and determines the necessary actions. The Compliance Officer is the point of contact for general compliance matters, is a member of the committee and supports the management in clarifying legal and organisational issues. He leads and coordinates compliance training and oversees improvement measures following identified breaches.

Compliance communication

Compliance training courses and information sessions provide the necessary knowledge on compliance issues and projects, as well as the content of the Code of Conduct, and are designed to support staff with appropriate guidance on how to act in critical situations. In both face-to-face and online training sessions, our staff are trained in line with their roles and responsibilities.

Monitoring and improving compliance through the whistleblowing scheme

Another key unit of our CMS is the heroal Whistleblower System, a confidential communication channel. The heroal Whistleblower System enables you to report potential serious misconduct and breaches of laws or internal guidelines. heroal Compliance investigates all reports and handles them confidentially and in accordance with data protection regulations. The whistleblower remains completely anonymous and protected. All requirements of the new EU Whistleblower Protection Directive, including the duty of confidentiality for whistleblowers and those affected, are implemented via the heroal whistleblowing system in accordance with the GDPR.

Reports can be submitted at any time, completely anonymously if desired, via the secure reporting system, and will be treated with the utmost confidentiality and in accordance with data protection regulations.
